Agreement
These Terms of Service ("Terms") are an agreement between you and Dovecore Software LLC ("Dovecore", "we", "us" or "our"), the operator of Shopruno. They govern your use of the Shopruno website at shopruno.com, Shopruno accounts and the tools available through them (together, the "Service").
By creating an account or using the Service you agree to these Terms and acknowledge our Privacy Policy at https://shopruno.com/privacy. If you use the Service on behalf of a business, you confirm that you have authority to accept these Terms for it, and "you" includes that business. If you do not agree, do not use the Service.
Who may use the Service
You must be at least 18 years old and use the Service for business or professional purposes, such as planning or operating an online store. The Service is not intended for personal, family or household use. You may not use it if you are barred from doing so by applicable law.
A development preview
Shopruno is in a development preview. Today it lets you create an account, save brand plans you write yourself and use AI brand planning under the included launch allowance described under "AI features and outputs". Features may change, be interrupted or be discontinued, and stores, results and examples shown on the website are illustrations, not customer outcomes.
No payment is collected today. When paid offerings such as hosted AI guidance credits, self-hosted software or managed hosting become available, their prices, taxes, refund and license terms will be shown before you buy. Those additional terms will apply to that offering and will control if they conflict with these Terms.
Your account
Give accurate information, keep your password secure and do not share your account. You are responsible for activity under your account. Tell us promptly at support@shopruno.com if you suspect unauthorized access.
If you sign in with Google or GitHub, your use of that account is also governed by the provider's own terms.
Your content
You keep all rights in the brand names, plans, text and other material you put into the Service ("Your Content"). You give Dovecore a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, process and display Your Content only as needed to provide, secure and support the Service for you. This license ends when Your Content is deleted from our systems, subject to our backup schedule.
You are responsible for Your Content. You confirm that you have the rights needed to use it and that it does not break the law or infringe anyone else's rights, including trademarks. We do not check whether a brand name or plan is available or lawful to use.
AI features and outputs
When AI features are available, they may generate suggestions, plans, text or other material ("Output"). Output can be inaccurate, incomplete, not unique to you, or similar to material produced for others. It is not legal, financial, tax, trademark or other professional advice. Review Output before relying on it. You are responsible for the decisions you make and the actions you approve, and we do not promise any business result.
The included launch allowance. AI brand planning is currently included at our discretion while we launch, under an allowance that we pay for. It is capped for each brand and for each day, and we may change the caps. We may pause it, for example when a daily cap is reached, and we may end it or make it a paid offering, with notice as described under "Changes to these Terms". It is not a purchase: nothing is charged to you for it, so there is nothing to refund, and an allowance is not a balance, credit or right that carries over, transfers to another brand or account, or survives the removal of the brand or the closing of your account.
Output is not verified. Brand names, market statements and other Output are produced from the model's knowledge without web research, availability checks or trademark searches, and no Output creates, changes or publishes a store or takes any action on your behalf.
Third-party services
The Service is designed to work with services we do not control, such as Shopify, AI model providers, payment processors, Google and GitHub. Your use of them is governed by their terms, and we are not responsible for their availability, content or actions. Connecting a third-party service always requires your authorization. Shopruno is not affiliated with or endorsed by Shopify, Google or GitHub.
Acceptable use
You agree not to:
- Use the Service for anything unlawful, deceptive, fraudulent or harmful, or to plan a business that sells illegal goods or services.
- Upload content that infringes or misappropriates someone else's rights, or that is abusive, hateful or sexually exploitative.
- Probe, scan or test the vulnerability of the Service, or break or bypass any security, authentication, rate limit, spending cap or approval control.
- Access the Service by automated means other than interfaces we provide, or scrape, overload or disrupt it.
- Reverse engineer the Service except where the law expressly allows it despite this restriction.
- Resell, sublicense or provide the Service to others without our written permission.
- Use the Service to send spam or unsolicited messages, or to break the policies of Shopify or any other platform you connect.
Our rights in the Service
Dovecore and its licensors own the Service, including its software, design, text, graphics and the Shopruno name and logo. Subject to these Terms, we give you a limited, revocable, non-exclusive, non-transferable permission to use the Service for your business. If you send us feedback or suggestions, we may use them without any obligation to you.
Suspension and termination
You may stop using the Service at any time and ask us to delete your account by emailing support@shopruno.com. We may suspend or end your access if you break these Terms, if your use creates risk or legal exposure for us or others, if required by law, or if we discontinue the Service. Where reasonable, we will give notice and a chance to export Your Content. Sections that by their nature should survive termination will survive, including those on Your Content, our rights, disclaimers, limitation of liability, indemnity and governing law.
Disclaimers
THE SERVICE IS A DEVELOPMENT PREVIEW PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, DOVECORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY OUTPUT WILL BE ACCURATE, UNINTERRUPTED, SECURE OR ERROR-FREE.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DOVECORE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. DOVECORE'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED US DOLLARS (US$100). THESE LIMITS DO NOT APPLY WHERE THE LAW DOES NOT ALLOW THEM.
Indemnity
You will defend and indemnify Dovecore and its members, officers and contractors against claims, losses and costs, including reasonable attorneys' fees, arising from Your Content, your business, your use of the Service or your breach of these Terms.
Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Before filing a claim, you agree to contact us at support@shopruno.com and try to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be heard exclusively in the state or federal courts located in California, and you and Dovecore consent to their personal jurisdiction.
Changes to these Terms
We may update these Terms. We will post the new version on this page with a new effective date, and for material changes we will tell you by email or in the Service before they take effect. If you keep using the Service after a change takes effect, you accept the updated Terms.
General
These Terms, together with the Privacy Policy and any additional terms shown when you buy an offering, are the entire agreement about the Service. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. We are not liable for delays caused by events beyond our reasonable control. We may send you notices by email to the address on your account.
